Preity Zinta‘s lawsuit against co-owners Mohit Burman and Ness Wadia has exposed an internal conflict among the Punjab Kings’ ownership. Zinta has charged the two with unlawfully holding an EGM at KPH Dream Cricket Pvt Ltd., the parent company of the well-known Indian Premier League team.
Preity Zinta, a well-known Bollywood actress, has asserted that the meeting was organised and carried out in violation of the Indian Companies Act, 2013 and the Secretarial Standards established by the relevant legislation. Wadia and Burman have already received notice from the Chandigarh District Court, with the first hearing set for May 27, 2025.
KPH Dream Cricket Private Limited is the owner of the Punjab franchise. Preity Zinta, who owns 23 percent of the company’s shares and is one of its co-directors along with Wadia and Burman, has alleged that the EGM was called and carried out in breach of secretarial standards and the Companies Act of 2013. The organisation and its co-directors have received a notice from the Chandigah District court, with a hearing set for Tuesday, May 27, 2025.
The 50-year-old, who is being represented by attorney Sangram Singh Saron, has stated that Burman arranged the meeting illegally with Wadia’s help, even though she objected in an email on April 10. She has claimed that the meeting was conducted without following the correct protocols, including electing a chairperson.
Her petition, which cites Principle 5.1 of Secretarial Standards, which mandates that the directors elect themselves as chairpersons if none is pre-designated, explains why she decided to file a case. She claims that she and fellow director Karan Paul had objected to Ness Wadia’s appointment as chairperson. There was a split vote among the four attending directors because Paul and Zinta had both proposed to nominate one of them.
Wadia and Burman reportedly appointed Muneesh Khanna as an additional non-executive director despite the impasse, which Preity Zinta said violated both governance standards and the company’s articles of association. In addition, she is requesting an injunction to prevent Khanna from serving as a director and to stop any meetings that are conducted without her and Paul present.
